PART A – TERMS AND CONDITIONS FOR USAGE OF THE PLATFORMS

1.1 These Terms of Use govern your access to and use of the FeTradeworld website, mobile application, and related services (collectively referred to as the "Platform"). The Platform is a subscription-based market intelligence and information service that provides commodity benchmark prices, market data, industry news, research reports, analytics, insights, forecasts, and related information for the iron ore, steel, mining, energy, freight, and commodity sectors. The Platform is intended solely to provide information and market intelligence and does not facilitate, participate in, or guarantee any commodity purchase, sale, negotiation, or transaction between users or third parties.

1.2 FeTradeworld reserves the right to modify, update, amend, or revise these Terms of Use from time to time. Users are encouraged to review these Terms periodically to remain informed of the conditions governing access to and use of the Platform. FeTradeworld further reserves the right to modify, enhance, suspend, discontinue, or restrict access to any part of the Platform, its content, features, services, or functionality at any time for maintenance, upgrades, security, operational requirements, legal compliance, or any other reason deemed necessary, without prior notice or liability.

1.3 By accessing, browsing, registering on, or otherwise using the Platform, you acknowledge and agree to be bound by these Terms of Use, the Privacy Policy, and any other policies, guidelines, notices, or terms that may be applicable to the Platform from time to time (collectively, the "Agreement"). Your continued use of the Platform constitutes your acceptance of such Agreement, including any amendments, modifications, or updates made by FeTradeworld from time to time.

1.4 FeTradeworld grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful personal or internal business purposes. Such use may include accessing benchmark prices, market intelligence, industry news, research reports, analytics, charts, forecasts, alerts, and other information services made available through the Platform. This license does not grant any ownership rights in the Platform or its content and may be revoked at any time in accordance with these Terms of Use.

1.5 By accessing or using the Platform, you represent and warrant that you are at least 18 (Eighteen) years of age and are legally competent to enter into and be bound by these Terms of Use. If you are under the age of 18, you may access or use the Platform only under the supervision and with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. FeTradeworld reserves the right to suspend or terminate any account if it becomes aware that a user under the age of 18 is using the Platform without appropriate parental or legal guardian consent. If you access or use the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms of Use, and references to "you" shall include such entity.

2.1 To access certain features, premium content, and subscription-based services offered through the Platform, users may be required to complete a one-time registration process and provide accurate, current, and complete information. Registration may be subject to account verification, validation of submitted information, and payment of applicable subscription fees. Users are responsible for ensuring that all information provided during registration remains accurate and up to date. FeTradeworld reserves the right to review, verify, approve, suspend, or reject any registration request at its sole discretion.

2.2 Registration on the Platform may be completed through the following process:

• 2.2.1 Creation of a new user account by providing the required registration details.
• 2.2.2 Submission of accurate personal, professional, or business information, as applicable.
• 2.2.3. Verification and validation of the information and documents submitted, where required.
• 2.2.4. Selection of an applicable subscription plan and payment of the corresponding subscription fee, if applicable.
• 2.2.5. Activation and authorization of the user account, following successful registration, verification, and payment processes, where applicable.

2.3 The registered user is solely responsible for maintaining the confidentiality and security of their account credentials, including their username and password. Users shall be fully responsible for all activities conducted through their account, whether authorized by them or not. In the event of any unauthorized access, suspected misuse, or security breach relating to the account, the user must promptly notify FeTradeworld. FeTradeworld shall not be liable for any loss, damage, unauthorized access, or misuse resulting from a user's failure to safeguard their account credentials or comply with their account security obligations.

2.4 Registered User shall: (a) immediately inform us of any unauthorized use of the account or any other security breach; and (b) ensure that you log out of your account at the end of each session. We, our employees, agents, directors and officers will not be liable for any loss or direct or indirect damage arising from your failure to comply with these Terms of Use. You may be held liable for any losses incurred to us or any other user due to unauthorized use of their account by you. We reserve the right to refuse access to the Platform(s), terminate accounts, remove or edit content at any time without notice to you.

3.1 By accepting the Terms of Use, the user also accepts to receive news, updates, offers/ campaign related SMS, to the mobile phone number provided by you. By accessing and using the Platforms and/or verifying your contact number with us, user explicitly consents to receive such communications (through call, SMS, email or other digital and electronic means) from us and/or our authorized representatives regarding any new services or offerings, even if your contact number is registered under the DND/NCPR list under the Telecom Commercial Communications Customer Preference Regulations, 2018.

3.2 Users may opt out of receiving marketing communications, promotional messages, newsletters, and other non-essential notifications from FeTradeworld at any time by following the unsubscribe instructions included in such communications or by updating their communication preferences within their account settings, where available. Please note that users may continue to receive essential service-related communications, including account notifications, subscription updates, security alerts, billing information, and other administrative messages necessary for the operation of the Platform.

4.1 FeTradeworld endeavours to ensure that all benchmark prices, market intelligence, industry news, research reports, analytics, forecasts, commentary, data, and other information or services provided through the Platform (collectively, the "Information") are accurate and up to date at the time of publication. However, FeTradeworld does not warrant or guarantee the accuracy, completeness, reliability, timeliness, suitability, or availability of any Information. All Information is provided on an "as is" and "as available" basis, and users acknowledge that any reliance on such Information is at their own risk. FeTradeworld makes no representations or warranties, express or implied, regarding the completeness, accuracy, or suitability of any Information available on the Platform.

4.2 Users acknowledge and agree that all Information made available through the Platform is provided solely for informational and reference purposes. Users are responsible for independently evaluating the accuracy, completeness, relevance, and suitability of such Information before relying on it for any business, commercial, financial, investment, procurement, trading, operational, or strategic decision. Nothing contained on the Platform shall be construed as investment advice, financial advice, trading advice, legal advice, or a recommendation to buy, sell, or hold any commodity, security, asset, or financial instrument. Any reliance on the Platform or the Information is entirely at the user's own risk. Neither FeTradeworld, its affiliates, directors, officers, employees, agents, nor licensors shall be liable for any loss, damage, cost, or expense arising from access to, use of, or reliance upon the Platform, the Information, or any third-party websites linked to the Platform. FeTradeworld does not endorse, control, or assume responsibility for the content, accuracy, availability, or practices of any third-party websites, and access to such websites is entirely at the user's own risk.

4.3 The Platform may contain charts, graphs, graphics, illustrations, photographs, infographics, maps, visualizations, and other visual content intended to assist users in understanding market trends, benchmark prices, industry developments, research findings, and related information. While FeTradeworld makes reasonable efforts to ensure the accuracy and relevance of such visual content, it does not guarantee that any visual representation is complete, accurate, current, or free from errors. Visual content is provided for informational and illustrative purposes only and should not be relied upon as the sole basis for any business, commercial, financial, investment, procurement, or trading decision.

4.4 Nothing contained on the Platform shall be construed as a recommendation, endorsement, approval, or solicitation to purchase, sell, use, invest in, or otherwise engage with any commodity, product, service, process, equipment, technology, company, or market participant. Any references to commodities, industries, products, services, technologies, or market practices are provided solely for informational purposes. FeTradeworld makes no representation or warranty, express or implied, regarding the suitability, legality, availability, performance, or non-infringement of any product, process, technology, or service referenced on the Platform, and users are solely responsible for conducting their own due diligence before making any business, commercial, procurement, investment, or operational decisions.

5.1 FeTradeworld makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, timeliness, quality, suitability, availability, performance, merchantability, fitness for a particular purpose, or usefulness of any content, benchmark prices, market data, research reports, analytics, forecasts, charts, news, commentary, or other information made available through the Platform. All such information is provided on an "as is" and "as available" basis and is intended solely for informational purposes.

5.2FeTradeworld does not warrant or guarantee that the Platform, its services, content, benchmark prices, market data, reports, analytics, or any linked third-party websites or services will be available at all times, uninterrupted, secure, error-free, or free from delays, inaccuracies, defects, viruses, malware, or other harmful components. FeTradeworld does not undertake any obligation to correct, update, or rectify any defects, interruptions, errors, or omissions and shall not be liable for any loss or damage arising from the unavailability, interruption, suspension, or malfunction of the Platform or its services.

5.3 The Platform and all services, content, benchmark prices, market data, reports, research publications, analytics, forecasts, news, charts, and other information available through the Platform are provided on an "as is" and "as available" basis, without any representations or warranties of any kind. FeTradeworld, its affiliates, licensors, and third-party content providers expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, availability, and non-infringement of third-party rights. FeTradeworld shall not be liable to any user or third party for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with the use of, inability to use, or reliance upon the Platform, its services, or any information made available through it, even if advised of the possibility of such damages.

Disclaimer: To the fullest extent permitted by applicable law, FeTradeworld, its affiliates, directors, officers, employees, agents, licensors, and service providers shall not be liable for any loss, damage, expense, liability, claim, injury, business interruption, loss of data, loss of profits, or other damages arising from or related to any failure of performance, omission, inaccuracy, interruption, delay, system failure, communication error, unauthorized access, security breach, theft, destruction, alteration, corruption, or misuse of data or records, viruses, malware, or any other event affecting the availability, functionality, security, or operation of the Platform and its services.

6.1 FeTradeworld controls and operates the Platform from India. While the Platform may be accessible from locations outside India, FeTradeworld makes no representation or warranty that the Platform, its content, services, benchmark prices, market data, reports, or other information are appropriate, available, or compliant for use in any jurisdiction outside India. Users who access the Platform from outside India do so at their own initiative and are solely responsible for complying with all applicable local laws, regulations, and legal requirements of their respective jurisdictions. Nothing contained in these Terms of Use or on the Platform shall be construed as a solicitation, offer, promotion, or invitation to use the Platform or its services in any jurisdiction where such activities are prohibited or restricted by applicable law.

6.2 FeTradeworld reserves the right to monitor user accounts and Platform activity to detect, prevent, and investigate fraudulent, unauthorized, abusive, or unlawful activities. Users shall not create multiple accounts for the purpose of circumventing Platform policies, obtaining unauthorized benefits, sharing subscriptions, misusing promotional offers, or engaging in any fraudulent activity. FeTradeworld reserves the right, at its sole discretion, to suspend, restrict, deactivate, or permanently terminate any account suspected of violating these Terms of Use, engaging in fraudulent conduct, or compromising the security or integrity of the Platform. FeTradeworld may also initiate appropriate legal action and seek recovery of any losses, damages, costs, expenses, or legal fees incurred as a result of such conduct. FeTradeworld shall not be liable for any loss, damage, suspension, termination, or restriction of access resulting from actions taken in good faith to protect the Platform, its users, or its services.

7.1 The Platform may contain advertisements, promotional content, sponsored materials, links to third-party websites, or references to third-party products, services, organizations, or resources. Your interactions, communications, transactions, purchases, subscriptions, or participation in any promotions with such third parties are solely between you and the applicable third party. FeTradeworld does not endorse, control, monitor, or assume responsibility for any third-party content, products, services, websites, offers, policies, or practices. FeTradeworld shall not be liable for any loss, damage, claim, liability, or dispute arising from or related to your dealings with any third party or your access to and use of any third-party website or service. Any agreement, transaction, or relationship entered into with a third party shall be solely between you and such third party.

8.1 The Platform and all content made available through it, including but not limited to benchmark prices, market data, research reports, industry news, analytics, forecasts, charts, graphs, databases, text, graphics, images, audio, video, software, designs, logos, trademarks, and other materials, are protected by applicable copyright, trademark, and other intellectual property laws. All intellectual property rights in the Platform and its content are owned by FeTradeworld or are used under valid license from their respective owners. Unless expressly stated otherwise, all rights, title, and interests in such content remain the exclusive property of FeTradeworld or its licensors, and no rights are transferred to users except for the limited right to access and use the Platform in accordance with these Terms of Use.

8.2 Subject to compliance with these Terms of Use, FeTradeworld grants you a limited, revocable, personal, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform and its content solely for your personal or internal business purposes. Users may view, download, store, and print reasonable portions of content made available through the Platform, including benchmark prices, market data, reports, research publications, news, analytics, and other information, solely for their own lawful use. Except as expressly permitted under these Terms of Use, users shall not reproduce, distribute, publish, modify, transmit, display, sell, license, commercially exploit, or otherwise use any content available on the Platform without the prior written consent of FeTradeworld.

8.3 Except as expressly permitted under these Terms of Use, you may not: (a) copy, reproduce, download, distribute, display, publish, transmit, modify, edit, alter, adapt, translate, enhance, broadcast, store, or otherwise use any content, benchmark prices, market data, reports, research publications, analytics, charts, graphics, databases, software, or other materials available on the Platform; (b) copy, distribute, publish, or make available any Information on another website, server, database, application, platform, or system, or reuse any content, text, graphics, or data for any purpose; (c) reproduce, republish, sell, license, sublicense, distribute, or commercially exploit any part of the Platform or its content, nor incorporate such content into any publication, report, website, database, software, or other work, whether in electronic or printed form; (d) remove, alter, or obscure any copyright, trademark, proprietary, or other intellectual property notices contained in any content obtained from the Platform; or (e) create links, frames, mirrors, or embedded references to the Platform or its content without the prior written consent of FeTradeworld.

8.4 The license granted to you under these Terms of Use does not include: (a) any resale, redistribution, sublicensing, or commercial exploitation of the Platform, its services, or any content available through it; (b) the collection, extraction, aggregation, or use of benchmark prices, market data, reports, research publications, analytics, news, or other Information for commercial purposes; (c) any use of the Platform, services, or content other than as expressly permitted under these Terms of Use; (d) the downloading, copying, sharing, transfer, or unauthorized use of account credentials, login information, or subscription access; (e) the use of data mining, scraping tools, robots, spiders, crawlers, artificial intelligence systems, automated extraction tools, or similar technologies to access, collect, monitor, or extract any content or data from the Platform; or (f) the creation, publication, maintenance, or distribution of any database, benchmark, index, report, service, application, or product that incorporates, reproduces, or is derived from any part of the Platform or its content without the prior written consent of FeTradeworld.

8.5If you believe that any content available on the Platform infringes your copyright, trademark, or other intellectual property rights, please notify FeTradeworld in writing with sufficient details of the alleged infringement. Upon receipt of a valid notice, FeTradeworld will review the matter and take such action as it deems appropriate in accordance with applicable law. Notices relating to intellectual property concerns may be sent to info@fetradeworld.com or such other contact details as may be published on the Platform from time to time.

All the trade names associated with us like logos denoted with TM are trademarks or registered trademarks of us or our affiliates. Our trademarks may not be used in connection with any product or service that is not our product or service.

10.1 You grant to us a royalty-free, perpetual, irrevocable, non-exclusive right and license to adopt, publish, reproduce, disseminate, transmit, distribute, copy, use, create derivative works from, display worldwide, or act on any material posted by you on the Platforms without additional approval or consideration in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content, and you waive any claim over all feedback, comments, ideas or suggestions or any other content provided through or on the Platforms. You agree to perform all further acts necessary to perfect any of the above rights granted by you to us, including the execution of deeds and documents, at its request.

10.2 You agree that we do a routinely monitor of your postings on the Platforms which are subject to background checks and verifications by our team and we reserve the right to do so. In case, we become aware of inappropriate use of the Platforms or any of its Services, we will respond in any way that, in its sole discretion, we deem appropriate. You acknowledge that we will have the right to report to law enforcement authorities of any actions that may be considered illegal, as well as any information it receives of such illegal conduct. When requested, we will co-operate fully with law enforcement agencies in any investigation of alleged illegal activity on the internet.

10.3 We reserve the right, at its sole discretion, to suspend, restrict, or terminate access to the Platform, its services, or any user account at any time, with or without notice, for any reason, including but not limited to a breach of these Terms of Use. The limited license granted to users under these Terms shall automatically terminate upon any violation of these Terms of Use. Upon termination, users shall immediately cease all use of the Platform and, where applicable, delete or destroy any downloaded, stored, or printed content obtained from the Platform. Any provisions of these Terms of Use which by their nature are intended to survive termination or expiration, including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification obligations, confidentiality obligations, and dispute resolution provisions, shall remain in full force and effect notwithstanding such termination or expiration.

11.1 You represent, warrant, and undertake that: (a) your access to and use of the Platform and its services shall comply with all applicable laws, regulations, and governmental requirements; (b) all information, documents, and data submitted by you in connection with the Platform are true, accurate, complete, current, and lawful; and (c) any content, material, feedback, comments, or information provided by you does not infringe the rights of any third party, violate any applicable law, contain defamatory, misleading, or unlawful material, or otherwise cause harm to any person or entity. If any information provided by you is found to be false, inaccurate, incomplete, misleading, or unlawful, FeTradeworld reserves the right, without prior notice, to suspend or terminate your account, reject or cancel your registration, restrict access to the Platform and its services, and take any other action deemed appropriate. You agree to indemnify, defend, and hold harmless FeTradeworld, its affiliates, directors, officers, employees, agents, and licensors from and against any claims, actions, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or related to your breach of these representations, warranties, or obligations under these Terms of Use.

11.2 You agree to use the Platform and its services solely for lawful purposes and in accordance with these Terms of Use. You shall not engage in any activity that may harm, disrupt, interfere with, compromise, or adversely affect the Platform, its services, content, security, functionality, reputation, or the experience of other users. Subject to your compliance with these Terms of Use, FeTradeworld grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform solely for accessing market intelligence, benchmark prices, research reports, analytics, news, and other services provided through the Platform.

11.3 You shall not, directly or indirectly, engage in any of the following activities:

• 11.3.1 Delete, modify, alter, obscure, or tamper with any content available on the Platform, including benchmark prices, market data, reports, analytics, legal notices, disclaimers, copyright notices, trademarks, logos, proprietary notices, or other content that you do not own or have not been expressly authorized to modify.
• 11.3.2 Decompile, reverse engineer, disassemble, decode, or otherwise attempt to derive the source code, structure, or underlying technology of the Platform or any part thereof.
• 11.3.3 Use the Platform or its services in any unlawful manner or in any way that may harm FeTradeworld, its affiliates, users, partners, systems, reputation, or any other person or entity.
• 11.3.4 Publish, distribute, or communicate any false, misleading, defamatory, malicious, abusive, or harmful statements concerning FeTradeworld, the Platform, its services, employees, affiliates, or users.
• 11.3.5 Upload, post, transmit, distribute, or otherwise make available any software, code, file, script, or material containing viruses, malware, spyware, ransomware, worms, Trojan horses, or any other harmful or disruptive components.
• 11.3.6 Use bots, crawlers, spiders, scrapers, automated scripts, artificial intelligence tools, or any other automated means to access, collect, monitor, extract, copy, or harvest content, benchmark prices, market data, or other information from the Platform.
• 11.3.7 Probe, scan, test, circumvent, breach, or attempt to compromise the security, authentication mechanisms, infrastructure, systems, or networks of the Platform.
• 11.3.8 Gain unauthorized access to any account, server, database, network, software, or system associated with the Platform, or attempt to interfere with, damage, disrupt, or impair its operation.
• 11.3.9 Interfere with or disrupt the normal functioning, availability, performance, integrity, or security of the Platform or any services provided through it.
• 11.3.10 Engage in any form of abusive, disruptive, fraudulent, deceptive, antisocial, or harmful conduct, including but not limited to spamming, phishing, flooding, trolling, impersonation, account abuse, subscription sharing, data theft, or any activity that adversely affects other users or the Platform.

11.4 You are prohibited from hosting, displaying, uploading, posting, publishing, transmitting, storing, updating, sharing, or otherwise making available on or through the Platform any information, content, material, or communication that:

• 11.4.1 Belongs to another person or entity and to which you do not have a lawful right, authorization, or license to use, distribute, or publish.
• 11.4.2 Is unlawful, defamatory, libelous, abusive, threatening, harassing, discriminatory, hateful, obscene, pornographic, sexually explicit, invasive of another person's privacy, misleading, fraudulent, harmful, or otherwise objectionable.
• 11.4.3 Harms, exploits, abuses, endangers, or negatively affects minors in any manner.
• 11.4.4 Infringes or violates any patent, trademark, copyright, trade secret, database right, privacy right, publicity right, or any other intellectual property or proprietary right of any person or entity.
• 11.4.5 Violates any applicable law, regulation, court order, governmental directive, or legal obligation.
• 11.4.6 Contains false, inaccurate, deceptive, misleading, or fraudulent information, including misinformation intended to mislead users or third parties.
• 11.4.7 Impersonates any person, organization, business, government authority, or entity, or falsely represents an affiliation with any person or entity.
• 11.4.8 Contains viruses, malware, ransomware, Trojan horses, worms, spyware, malicious code, or any other software, program, file, or technology designed to interrupt, damage, limit, or compromise the functionality, security, or integrity of any system, network, device, or resource.
• 11.4.9 Threatens, endangers, or undermines the sovereignty, integrity, security, public order, or lawful interests of any country or jurisdiction, or promotes violence, criminal activity, terrorism, or unlawful conduct.
• 11.4.10 Promotes, facilitates, advertises, or encourages illegal activities, unlawful financial schemes, gambling, betting, money laundering, fraud, or any activity prohibited under applicable law.
• 11.4.11 Contains content that FeTradeworld reasonably determines to be harmful to the Platform, its users, its reputation, or the lawful operation of its services.

We reserve the right to remove, restrict, suspend, or report any content or user activity that violates this clause, without prior notice and in accordance with applicable laws and regulations.

12.1 You agree to indemnify, defend, and hold harmless us, its affiliates, directors, officers, employees, consultants, licensors, agents, representatives, and service providers from and against any and all claims, actions, demands, proceedings, losses, liabilities, damages, judgments, settlements, penalties, costs, and expenses, including reasonable legal and attorney fees, arising out of or related to: (a) your access to or use of the Platform or its services; (b) your violation of these Terms of Use or any applicable law, regulation, or third-party right; (c) any content, information, or material submitted, posted, transmitted, or otherwise provided by you through the Platform; (d) your infringement or misappropriation of any intellectual property, privacy, confidentiality, or other rights of any person or entity; or (e) any fraudulent, negligent, unlawful, or unauthorized activity conducted by you. We reserve the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully and provide reasonable assistance in the defence of such claims, actions, or proceedings.

12.2 To the fullest extent permitted by applicable law, FeTradeworld, its affiliates, directors, officers, employees, consultants, licensors, agents, representatives, and service providers shall not be liable for:

• 12.2.1 Any inability to access or use the Platform, its services, content, benchmark prices, market data, reports, research publications, analytics, or any related features.
• 12.2.2 Any content, information, data, comments, feedback, communications, or materials posted, transmitted, exchanged, shared, or received by users or third parties through or in connection with the Platform.
• 12.2.3 Any loss, damage, liability, expense, business interruption, loss of profits, loss of revenue, loss of data, or any other matter arising out of or relating to the Platform, its services, content, or the use thereof.
• 12.2.4 Any acts, omissions, decisions, statements, representations, or conduct of users, third parties, advertisers, service providers, or other entities associated with or accessible through the Platform.
• 12.2.5 No director, officer, employee, consultant, representative, shareholder, or affiliate of FeTradeworld shall be personally liable for any claim, loss, damage, liability, or action arising out of or in connection with the Platform, its services, or these Terms of Use.

We make no representation that the content on the Platforms is appropriate to be used or accessed outside the Republic of India. Your use of or access to the Platforms from outside the Republic of India is at your own risk and you are responsible for compliance with the laws of such jurisdiction.

Any grievance or dispute arising out of or relating to the Platform or these Terms of Use shall first be submitted to the Grievance Officer for amicable resolution. If the dispute remains unresolved, it shall be referred to arbitration under the aegis of the Orissa High Court Arbitration Centre, Cuttack, in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Cuttack, Odisha. Subject to arbitration, the courts at Cuttack, Odisha shall have exclusive jurisdiction.
